These Terms set the rules for using the DivineWorx creative ecosystem, including Creator accounts, Labs, local processing, trials, subscriptions, connected services and your creative content.
1. Agreement to these Terms
These Terms of Service govern your access to and use of the DivineWorx website, Creator accounts, Studio, Labs, software features, and related services. By creating an account, starting a trial, purchasing access, or using DivineWorx, you agree to these Terms and our Privacy Policy.
If you do not agree, do not use the service.
2. The DivineWorx service
DivineWorx is a browser-based creative studio ecosystem. Its Labs may provide tools for functions such as stem separation, audio shaping and mastering, media creation, and social publishing. The service may evolve over time, and features may be added, changed, replaced, limited, or discontinued.
DivineWorx is designed around local processing wherever technically practical. Some optional features may require network access, third-party services, authentication providers, payment providers, or publishing destinations.
3. Creator accounts
You are responsible for providing accurate account information, maintaining the security of your credentials and devices, and for activity performed through your account. You must not share credentials in a way that defeats account, trial, subscription, or security controls.
Google or other third-party identity providers may be offered as a convenient sign-in method. Use of those providers is also subject to their applicable terms.
4. Trials, plans and access
DivineWorx may offer a time-limited trial and paid subscription plans. Current pricing, duration, included access, and renewal terms are shown at the point of offer. A trial is associated with a Creator account and is not intended to be repeatedly restarted through duplicate accounts, altered credentials, or other circumvention.
Access to paid or trial features may end when the applicable trial, subscription, gift, or entitlement expires. Your Creator account may continue to exist even when processing access is inactive.
5. Payments and renewals
If you purchase a subscription, you authorize the applicable payment provider to process charges disclosed at checkout. Unless a plan is expressly described otherwise, recurring subscriptions may renew until cancelled according to the cancellation method presented with the service or payment provider.
Taxes, currency conversion, payment-provider rules, refunds, chargebacks, and transaction timing may vary by provider and jurisdiction. DivineWorx may suspend paid access when a payment fails, is reversed, or is reasonably suspected to be fraudulent.
6. Your content and ownership
You retain ownership of the creative material you bring to DivineWorx and of your rights in outputs to the extent permitted by applicable law. DivineWorx does not claim ownership of your music, audio, images, video, text, or other creative content merely because you process it with a Lab.
You grant DivineWorx only the limited rights reasonably necessary to provide a feature you deliberately request, such as temporarily handling information required for an optional connected or server-side function.
7. Your responsibility for content
You are responsible for ensuring that you have the rights and permissions necessary to upload, process, transform, download, publish, distribute, or otherwise use content through DivineWorx. The availability of a creative tool does not grant rights in third-party copyrighted material, trademarks, likenesses, recordings, datasets, or other protected content.
You must not use DivineWorx to violate law, infringe intellectual-property or privacy rights, impersonate others deceptively, distribute malware, attack systems, evade access controls, or facilitate unlawful activity.
8. Local processing and files
Where a Lab is described as local or on-device, the feature is designed to perform the relevant creative processing in your browser or on your device wherever technically practical. Performance, memory limits, browser capabilities, device temperature, available storage, file compatibility, and other local conditions may affect results.
You are responsible for keeping your own source files and backups. DivineWorx should not be treated as the sole archival copy of important creative work.
9. Third-party services
DivineWorx may allow you to authenticate with, connect to, pay through, export to, publish to, or otherwise interact with third-party services. Those services are independent from DivineWorx and may have their own terms, privacy policies, technical limits, fees, moderation rules, and availability.
We are not responsible for a third party's independent service, decisions, outages, account restrictions, or changes to its APIs or policies.
10. Software, models and intellectual property
The DivineWorx website, application shell, original interface, branding, workflows, code owned by DivineWorx, documentation, and other proprietary materials are protected by applicable intellectual-property laws. Except for rights expressly granted to you, DivineWorx and its licensors retain their respective rights.
Some functionality may incorporate or depend on third-party software, models, libraries, codecs, or other components governed by separate licenses. Those components remain subject to their applicable licenses and notices.
11. Acceptable use and service protection
You may not attempt to reverse engineer protected server-side systems where prohibited by law, bypass authentication or payment controls, probe or attack infrastructure, automate abusive traffic, interfere with other users, exploit vulnerabilities, or use DivineWorx in a way that materially burdens or damages the service.
We may rate-limit, suspend, block, or terminate access when reasonably necessary to protect DivineWorx, its users, third parties, or the integrity of trials, subscriptions, and security controls.
12. Creative and technical results
Creative-processing results can vary by source material, device, browser, model, algorithm, settings, and other technical factors. DivineWorx does not promise that a separation, enhancement, restoration, master, image, video, or other output will be error-free, commercially suitable, or identical across devices or versions.
You are responsible for reviewing outputs before relying on, publishing, distributing, or commercially using them.
13. Availability and changes
We aim to keep DivineWorx useful and available, but uninterrupted or error-free operation is not guaranteed. Maintenance, security work, provider outages, browser changes, network conditions, model updates, licensing changes, or other events may affect availability.
We may modify the service and these Terms as the product evolves. Material changes will be reflected by updating the effective date and, where appropriate, providing additional notice.
14. Disclaimers
To the maximum extent permitted by applicable law, DivineWorx is provided on an “as is” and “as available” basis. We disclaim warranties that cannot reasonably be implied beyond those that applicable law does not allow to be excluded.
Nothing in these Terms excludes consumer rights or other protections that cannot lawfully be waived.
15. Limitation of liability
To the maximum extent permitted by applicable law, DivineWorx will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or creative opportunities arising from use of or inability to use the service.
Where liability cannot lawfully be excluded, it will be limited only to the extent permitted by applicable law. Some jurisdictions do not permit certain exclusions or limitations, so parts of this section may not apply to you.
16. Indemnity
To the extent permitted by applicable law, you agree to be responsible for claims arising from your unlawful use of DivineWorx, your violation of these Terms, or your infringement of another person's rights. This provision does not apply where prohibited by applicable consumer law.
17. Suspension and termination
You may stop using DivineWorx at any time. We may suspend or terminate access for material breach of these Terms, fraud, abuse, security risk, unlawful conduct, non-payment, or where necessary to comply with law. Where reasonable and legally appropriate, we may provide notice or an opportunity to remedy the issue.
18. Governing law and mandatory rights
These Terms do not override mandatory rights that apply to you under consumer, privacy, or other applicable law. Because DivineWorx is accessible internationally and the formal operating entity/jurisdiction may evolve, any jurisdiction-specific governing-law or forum provision should be stated here only when DivineWorx has formally adopted it.
